These Terms of Service ("Terms") govern your access to and use of the VadayAI Solutions website at www.vadayai.com and any services we provide, including our PractiGO product. By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Description of Services
VadayAI Solutions provides AI consulting, development, automation, cloud engineering and web development services, as well as our PractiGO software product. Specific service engagements are governed by a separate signed statement of work or service agreement, which takes precedence over these Terms in the event of a conflict.
3. Acceptable Use
You agree not to use our website or services to: violate any applicable law or regulation; infringe the intellectual property or other rights of any party; transmit malicious code or attempt to gain unauthorized access to our systems; or interfere with the proper functioning of our website or services.
4. Intellectual Property
Unless otherwise agreed in a signed statement of work, all content on this website — including text, graphics, logos and the site's design — is the property of VadayAI Solutions and protected by applicable intellectual property laws. For client engagements, ownership of code, models and deliverables is defined in the applicable service agreement; our standard practice is that clients own the code, fine-tuned models and data produced during their engagement, as described on our Services page.
5. PractiGO Product Use
PractiGO is a documentation and workflow assistant intended to support, not replace, clinical judgment. It does not diagnose, treat or make medical decisions. Use of PractiGO by a clinic or provider is subject to a separate subscription agreement governing data handling, permitted use and service levels.
6. Fees and Payment
Fees for services or PractiGO subscriptions are set out in the applicable proposal, statement of work or subscription agreement. Except as otherwise agreed in writing, fees are non-refundable once work has commenced or a billing period has started.
7. Disclaimers
Our website and general service descriptions are provided "as is" without warranties of any kind, express or implied. We do not guarantee that any AI system will be error-free or that specific business outcomes will be achieved; results depend on many factors specific to each engagement.
8. Limitation of Liability
To the fullest extent permitted by law, VadayAI Solutions will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of our website or services. Our total liability for any claim arising from a client engagement is limited to the amount paid for the specific services giving rise to the claim, unless otherwise stated in a signed agreement.
9. Termination
We may suspend or terminate access to our website or services for conduct that violates these Terms. Termination of a client engagement is governed by the applicable service agreement.
10. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India, unless otherwise specified in a signed service agreement.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
